Press Release
Company Sale - Radix Traffic Ltd, Hampshire, UK - 2019
Strategic Finance Consulting and Trethowans Solicitors advise on the sale of specialist manufacturing company, Radix Traffic to AGD Systems Limited
Two engineers founded Radix Systems Limited in 1988. The company quickly developed into two separate trading and technology divisions. The Electronic Sorting division was sold in 2008. The Traffic division continues as Radix Traffic Limited and is known for its innovative design and manufacturing of traffic products, most notably road safety technology used in pedestrian crossings across the UK. The company was successfully sold to AGD Systems Limited, part of The Traffic Group (TTG) in February 2019.
TTG’s primary focus is on a range of product solutions designed to help create safer, greener and more efficient traffic and transport environments. The purchase of Radix Traffic has provided TTG with complementary products and associated technology to supplement its existing portfolio.
Milan Fuchs, founding director of Radix and a major shareholder said “It is not easy to part with a company which formed a majority of one’s working life. But there comes a time…. We, Dick Duley and I worked with Caleb some 10 years earlier and liked his guided approach to selling businesses. He gained his experience with some major M&A names, and today fitted our needs perfectly. During the 18 months of working together on this sale, he proved resilient, balanced, listening to our needs, and able to jump some of the hurdles one inevitably finds during the process..”
He added, “The Sale legal side proved much more involved than the directors of Radix anticipated. Following the Due Diligence phase, which was relatively straight forward, the Warranties and corresponding Disclosures required effort and knowledge normally not available in a small company. Under the expert guidance of Mark Nixon, a Trethowans partner, and his team we negotiated the deal without a hitch their approach was professional, hardworking and dedicated”.
Caleb Lewington, Strategic Finance Consulting Director “The sale is the second time I’ve worked with the Radix team and shareholders after the 2008 sale of its optical sorting division and I’m delighted to get the opportunity again to support them through this final sale process. It marks the end of their successful involvement in the traffic sector having shown continued innovation and resourcefulness in competing against much larger firms. I wish everyone involved well in future. Radix is in a strong position to continue its growth under AGD’s ownership.”
Mark Nixon, commented that “It was a real pleasure to work with the Radix team and play a small part in helping them to realise all the hard work and effort that has been put in over the past thirty years. They have found a very good home for the business in AGD”
